Affiliate Program Agreement

The Aesthetics Co.

1. Enrollment and Eligibility

The Aesthetics Co. (“the Company”) reserves the right to refuse any affiliate application or terminate any account at our sole discretion if we determine that an Affiliate’s content, audience, or promotional methods are unsuitable for our brand.

2. GST, Commissions & Lifetime Tracking

GST Withholding: In accordance with Australian Taxation Office (ATO) regulations, GST (10%) is included in the retail price but is not considered part of the Company’s revenue. Therefore, all commissions are calculated on the Net Sale amount after the 10% GST has been withheld/deducted. * Example: On a $110 sale, $10 is withheld for GST. Your 10% commission is calculated on the remaining $100, resulting in a $10 commission.
Commission Floor: The base commission rate is set at 10% of Net Sales (ex-GST). This rate will not drop below 10% and may increase as milestones are met.
Lifetime Referral Policy: Once a customer makes their first purchase using your link or code, they are “locked” to your account. You will receive commission on all future purchases for the lifetime of their relationship with the Company.
The “Override” Rule: Lifetime commissions remain active unless the customer uses a different affiliate’s discount code/link, or this Agreement is terminated.
Coupon Integrity: You will still receive your lifetime commission even if the returning customer uses a general company-wide coupon.

3. Returns, Refunds, and Chargebacks

Net Sales Only: Commissions and store credit are earned only on “Net Sales” (purchases fully paid for and not returned within the 30-day window).
Clawbacks: Any commission or credit issued on an item that is later returned or charged back will be deducted from your next payout or credit balance.

4. Welcome Credit, Store Credit & Personal Discounts

Welcome Credit: Upon enrollment, the Affiliate receives a one-time $400 Welcome Credit for content creation.
Monthly Store Credit Tiers: (Based on monthly Net Sales)
- $500 – $1,000 Sales: $50 Credit
- $1,001 – $2,500 Sales: $150 Credit
- $2,501 – $4,000 Sales: $250 Credit
- $4,001 – $5,500 Sales: $350 Credit
- $5,001+ Sales: $450 Credit
No Resale Policy: Products received through credit/discounts are for personal use only. Resale is strictly prohibited and results in immediate termination.

5. Content Obligations & Intellectual Property

Mandatory Feature: For every item received via credit/discount, you must share at least one (1) piece of high-quality content featuring the product within 14 days.
Usage Rights: The Affiliate grants the Company a perpetual, royalty-free license to use and adapt your content for marketing and Paid Advertisements.

6. Paid Advertisement Conduct

Engagement: You are encouraged to engage with comments on Company ads featuring your content and direct users to your profile.
Strict Prohibition: You are strictly prohibited from posting your affiliate discount code or tracking URL in the comments of any paid advertisement run by the Company. This is a violation of our ad agreement.

7. Serious Offences & Termination

Termination: The Company may terminate this Agreement immediately for conduct deemed harmful to the brand.
Serious Offences: Includes “ad-poaching,” fraud, “coupon stuffing,” or self-referrals.
120-Day Commission Hold: In the event of termination for a serious offence, the Company will hold all pending commissions for 120 days to ensure no chargebacks or returns occur.
End of Lifetime Commissions: Upon termination of this Agreement, all rights to lifetime commissions on previous referrals are forfeited immediately.

8. Promotion & Relationship Guidelines

FTC Disclosure: You must clearly state your relationship with us (e.g., #ad).
Independent Contractor: You are responsible for your own taxes and expenses.

9. Limitation of Liability

the Company aggregate liability will not exceed the total commissions paid or payable to you under this Agreement.
